Job Summary

NetApp’s Corporate Legal Team is looking for a Company Secretary to join our world-class legal department and lead our subsidiary maintenance efforts in the APAC region. As a Company Secretary specializing in global subsidiary management and corporate secretarial work, you will play a crucial role in supporting our global operations and ensuring compliance with legal requirements across multiple jurisdictions, particularly in India and APAC generally. Your responsibilities will include managing subsidiary entities, maintaining corporate records, and assisting with various corporate legal matters. Job Requirements

  • Manage a portfolio of subsidiaries, particularly in India and APAC, ensuring ongoing compliance with local laws and regulations.
  • Ensure compliance with the Companies Act, 2013 and allied laws (FEMA, SEBI).
  • Manage ROC filings, statutory registers, and records.
  • Handle event-based compliances (allotment, transfer, charges, etc.).
  • Handle dematerialisation of shares and related compliance work.
  • Conduct in-house secretarial due diligence and maintain all secretarial paperwork in order.
  • Prepare and coordinate execution and filing of corporate documents, such as annual reports, amendments, and registrations with regulatory authorities.
  • Maintain accurate and up-to-date corporate records, including corporate governance documents, board resolutions, shareholder agreements, and other corporate secretarial documents.
  • Maintain business licenses and coordinate with local agents or authorities as required.
  • Assist with the management and coordination of corporate legal responsibilities with finance initiatives, including dividend declarations, intercompany loans, entity formations, mergers and acquisitions, joint ventures, dissolutions and other corporate transactions. 
  • Lead the preparation of board and committee meetings, including drafting agendas, preparing meeting materials, and taking minutes.
  • Collaborate with internal stakeholders, including finance (treasury, tax, risk, statutory audit) and HR departments, to ensure alignment and compliance with legal requirements.
  • Coordinate and manage external corporate secretarial support services vendors. 

 

Job Requirements:

  • Proven experience (+5 years) as a Corporate Paralegal, with a focus on international subsidiary management and corporate secretarial work in India and the APAC region.
  • Strong knowledge of corporate laws, MCA portal, and compliance management.

 

 

Education

  • B.A. or B.S. from an accredited university or college
  • Qualified Company Secretary (Member of ICSI).
  • 5+ years of corporate paralegal experience in an in-house environment
