Job Summary
NetApp’s Field Legal Team is looking for a highly skilled and experienced Senior Commercial Counsel to join our world class legal team to support our worldwide customer success organization, commercial transactions in the Americas and provide advice across other business divisions. We seek a candidate who is agile, organized and excited to work with sales and business divisions to drive growth in NetApp’s customer success business and other lines of business. You will play a pivotal role in providing expert legal advice and guidance on a wide range of commercial and contractual matters. Your primary responsibilities will include drafting, reviewing and negotiating complex commercial technology agreements with customers and partners, assessing potential risks and ensuring compliance with relevant laws and regulations. You also will have expertise and experience advising sales and business divisions on issues related to antitrust, information security and data privacy/GDPR/data processing agreements.
This position will be based near a NetApp office in the San Francisco Bay area; RTP, NC; or the DC Metro Area. This position will report to the Director of Legal.
Job Requirements
- Provide legal and advisory support to the worldwide customer success organization, ensuring alignment with company goals and objectives. Collaborate with cross-functional teams to deliver comprehensive support and resources to the business teams, fostering a strong and productive service delivery ecosystem.
- Draft, review and negotiate a variety of commercial technology agreements, including software-as-a service (SaaS), license and services agreements with customers and partners to enable sales opportunities while also complying with legal requirements and company policies.
- Become a trusted partner and subject matter expert to business clients and cross-functional stakeholders and conduct thorough legal analysis and risk assessments to identify potential legal issues and provide proactive recommendations and actionable guidance on legal issues and risks, with a particular focus on service delivery, data privacy and information security.
- Advise internal stakeholders on legal matters related to commercial transactions, including terms and conditions, data privacy and security, intellectual property, indemnification and liability.
- Contribute to the continuous improvement of standard agreements and legal processes for customer and partner services agreements, as well as on projects designed to increase velocity and efficiency.
- Leads and contributes to company objectives and principles to achieve goals in creative and effective fashions.
- Collaborate with cross functional teams including finance, information security, privacy, sales and business unit teams to drive partner and customer deals to execution and design scalable processes for implementation.
- Conduct internal trainings and develop educational materials to enhance legal awareness within the organization.
Qualifications
- Juris Doctor (JD) from an accredited law school and current bar admission with at least one state bar membership and eligible to practice in your state of residence.
- Minimum of 12+ years of relevant experience as a commercial technology counsel, preferably in a corporate environment or law firm with experience drafting and negotiating services agreements, SaaS agreements and other technology customer-facing agreements and providing related advice to business unit executives and their teams.
- In-depth knowledge of SaaS, services and software and hardware agreements, associated business models, and technology industry trends, including knowledge of laws and regulations as they apply to cloud services providers and customers (e.g., privacy, data handling, GDPR requirements, information security requirements).
- Keen business sense, with the ability to distill legal theory into practical advice. Excellent verbal and written communication, drafting and negotiation skills.
- Proficiency in MS Word, Outlook, PowerPoint, Excel.
- Exceptional attention to detail and proven ability to be self-directed.
- Solution-oriented: You bring empathy and understanding to your conversations with customers, seeking to find a path forward that balances company risk and customer needs, and you think creatively beyond the legal terms to generate possible solutions and options for the business, while clearly articulating risk-based recommendations.

Compensation:
The target salary range for this position is 207,400 - 309,100 USD. The salary offered will be determined by the candidate's location, qualifications, experience, and education and may be outside of this range. Final compensation packages are competitive and in line with industry standards, reflecting a variety of factors, and include a comprehensive benefits package. This may cover Health Insurance, Life Insurance, Retirement or Pension Plans, Paid Time Off (PTO), various Leave options, Performance-Based Incentives, employee stock purchase plan, and/or restricted stocks (RSU’s), with all offerings subject to regional variations and governed by local laws, regulations, and company policies.
