Your Role:

As Legal & Commercial Counsel, you will:

  • Provide legal advice in the areas of information technology, commercial, contract, company, competition, anti-bribery, data protection and private international law;
  • Provide general commercial and business advice;
  • Negotiate and draft complex commercial agreements for the supply of hardware, software, support services, professional services and managed services;
  • Negotiate and draft partner agreements, including back-to-back agreements related to specific sales opportunities;
  • Prepare other legal materials, as may be needed on a case-by-case basis;
  • Provide advice in relation to disputes and prepare related documents e.g. settlement agreements; and instruct and manage external counsel.

In relation to sales opportunities, and in close collaboration with your Commercial Deal Manager and cross-functional team, you will:

  • Analyse all opportunity related documentation e.g. RFIs, RFPs, ITTs;
  • Develop an opportunity and proposal strategy that optimally positions NetApp’s solutions and value proposition;
  • Identify legal, commercial and operational risks, together with your cross functional team, and implement creative solutions to mitigate these risks;
  • Establish an effective negotiation strategy and conduct negotiations;
  • Draft requisite contractual documentation;
  • Manage the opportunity through its entire lifecycle using NetApp’s “Deal Review Process”;
  • Lead or support Deal Reviews at Area, Geo and Corporate level;
  • Seek, obtain and track business approvals;
  • Leverage NetApp’s deal management tools and resources;
  • Collate content contributions, support the preparation of proposal documentation and ensure the timely submission of a first-class winning proposal; and
  • After contract award, ensure a timely and full handover to the relevant fulfilment team, performing such fulfilment tasks as may be agreed or needed on a case-by-case basis.

In addition to the above, you will participate in continuous innovation and business improvement initiatives aimed at driving simplicity, standardisation, best practice adoption, efficiency and velocity in our business.

 

Education & Requirements:

Skills

 

The skills required for a Legal and Commercial Counsel include:

 

  • Legal drafting skills;
  • Negotiation skills;
  • Risk management skills;
  • Project management skills;
  • Extensive public sector contracting experience in Germany, and preferably Austria and Switzerland also;
  • Revenue recognition skills i.e. USGAAP and IFRS;
  • Trade compliance skills e.g. US Export Administration Regulations;
  • Ability to thinking tactically, strategically and creatively;
  • Excellent written and verbal communication skills;
  • Language skills;
  • Proficient presentation skills;
  • Sophisticated interpersonal skills;
  • Cultural awareness;
  • Capable of working under pressure and meeting deadlines;
  • Ability to work both as a team member and a team leader;
  • Conflict management and resolution skills; and
  • Ability to establish credibility and build strong relationships at all levels up to and including CXO level.

 

Information Technology Skills

 

Proficiency in Microsoft applications (Word, Excel, Outlook, PowerPoint). Salesforce.com experience desirable.

 

Travel

The role may require business travel on a regular basis across EMEA.

 

Experience

 

7-10 years as legal counsel with a US HQ-ed Blue Chip organisation in the Information Technology industry, performing tasks similar to those listed above.

Education

A Bachelor’s degree in Law, Business, Finance, or similar. Admission as Rechtsanwalt.

Languages

Proficiency in German and English. Additional languages are very desirable.
