Job Summary

 NetApp is a multi-billion-dollar corporate technology leader and highly sought-after place to work. You have an opportunity to join our world-class legal department for a Senior Legal Counsel role. You will have responsibility for providing advice on all commercial legal matters in relation to NetApp’s business in Germany, Austria, and Switzerland. You will be accomplished in commercial contracting, with a strong background in structuring, drafting, and negotiating IT contracts (including but not limited to software, hardware, services, and XaaS contracts with customers (b-2-b & public sector), resellers, and partners.  In addition, you will be experienced in providing commercial legal advice on a variety of issues that touch our client’s business, such as data privacy, information security, competition law, public procurement law, cloud

Responsibilities

 

• Acting as lead negotiator for complex transactions; supporting public sector tenders; negotiating, and drafting a wide range of contracts and subcontracts with our client’s strategic, enterprise and commercial customers and channel sales partners (distributors & resellers),  SaaS, PaaS and IaaS agreements, Enterprise License Agreements, Enterprise Services Agreements, on premises hardware and software agreements, as well as other outbound agreements including professional services, reseller, information security and data privacy-related agreements
• Providing timely, proactive, and practical business-oriented legal support to sales organizations as well as finance and other company departments on legal issues and risks, negotiation strategies and deal structures
• Acting as a subject matter expert and advising sales clients on XaaS and cloud issues, intellectual property, data privacy (GDPR) & information security, and matters related to commercial contract terms 


 

Your profile

• Qualified to practice law in Germany
• At least 10 to 15 years of relevant experience, with at least five (5) years of in-house experience at a technology or internet company
• Experience working across the German, Austrian and Swiss jurisdictions 
• Strong transactional experience in reviewing, drafting & negotiating a variety of IT contracts that underpin our business with the ability to recognize and highlight revenue recognition issues (US GAAP)
• Highly experienced in one or more of the following areas: EU / German procurement law, relevant data privacy and cybersecurity laws and regulations (e.g., GDPR, BDSG, and BSIG, intellectual property law, and / or competition law.
• Native German speaker with full professional proficiency in English (additional languages are a plus)
• Outstanding verbal and written communication skills, as well as drafting and negotiation skills.

• Excellent time management, analytical, decision-making, and problem-solving skills, with the ability to think strategically and creatively, and to develop win-win solutions
